Terms of Service

These Terms of Service ("Terms") govern your access to and use of Copacetic, provided by Copacetic Legal Technologies Ltd ("Copacetic Legal Technologies", "we", "us", "our"), a company registered in England and Wales (No. 14820019). By accessing or using Copacetic you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Acceptance of these Terms

By creating an account or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a firm, company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. The Service

Copacetic is a system of work, not a system of record, for UK law firms and chambers: matters, time recording, calendar, a document vault, team messaging, a precedent bank, legislation tracking, forms, a prompt library, and an AI assistant called Lutey.

We may add, change, suspend or remove features from time to time. We will give reasonable notice of any change that materially reduces core functionality.

3. Lutey — not legal advice

Lutey is a workload orchestration assistant. It does not provide legal advice, does not fabricate law, and is designed never to output a legal statement without an attached, retrieved source. You must not rely on Lutey for legal advice, and remain solely responsible for reviewing and verifying any Lutey output before acting on it.

Lutey requires your explicit confirmation before it takes any action that writes to your workspace data, and every action it takes is recorded in your workspace's audit log.

4. Accounts and eligibility

You must be at least 18 years old and capable of forming a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You must notify us promptly at security@copacetic.legal of any unauthorised use of your account or any other breach of security.

5. Subscriptions and fees

Copacetic is offered on four tiers, billed via Stripe, VAT-inclusive: Free (£0), Solo (£5.99/month), Standard (£9.99/user/month) and Team (£29.99/user/month). Subscriptions are billed monthly in advance.

You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable. We will give at least 30 days' notice of any change to pricing, which will take effect at your next renewal.

6. Your content and client data

Your firm owns all data it uploads or generates within Copacetic ("Customer Data"). As between you and Copacetic Legal Technologies, your firm is the data controller and Copacetic Legal Technologies is the data processor for Customer Data that constitutes personal data.

You are responsible for ensuring you have the necessary rights and lawful basis to upload Customer Data, and for complying with your own professional and regulatory obligations, including client confidentiality and legal professional privilege.

Content that Lutey generates in response to your instructions and your Customer Data (drafts, suggestions, summaries and similar output) is provided to you as part of the Service — you may use it without restriction, and we do not claim ownership over it. We and our licensors retain all right, title and interest in the Service itself, including its software, design and underlying technology, other than the rights expressly granted to you to use it.

7. Data location

Customer Data is stored in the UK and EU — application data in Supabase (London, eu-west-2) and vault documents in Cloudflare R2 (EU). Some processing, such as Gemini API calls that power Lutey, may transit infrastructure outside the UK/EU under appropriate safeguards — see our Privacy Policy.

8. Acceptable use

You agree not to: use the Service unlawfully; upload malicious code; attempt to circumvent security controls; attempt to access another workspace's data or otherwise breach workspace isolation; reverse-engineer or resell the Service; or use it to train a third-party AI model on Customer Data.

We may suspend or restrict access where we reasonably believe these Terms have been breached or where necessary to protect the Service or other users.

9. Termination

You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. On termination, your firm has 30 days to export Customer Data, after which the workspace and its data are permanently deleted. Immediate deletion on request is honoured within 72 hours.

10. Message retention

Team messaging and Lutey conversation logs are retained for 101 days by default and automatically deleted thereafter. An extended retention add-on (£0.99/seat/month, included in the Team plan) extends this to 1 year. Audit logs are retained separately for 7 years.

11. SRA and regulatory compliance

Copacetic is designed to support your firm's compliance with SRA Standards and Regulations and other applicable obligations, but Copacetic does not itself provide regulated legal services. Your firm's own compliance, supervision and professional conduct obligations remain your firm's responsibility.

12. Warranties and liability

To the fullest extent permitted by law, we exclude all implied warranties. We do not exclude or limit liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.

The Service, including Lutey, is not a substitute for legal advice, and we accept no liability for decisions made on the basis of Lutey's output. Subject to the above, our total aggregate liability in any 12-month period shall not exceed the fees you paid in that period. We are not liable for indirect or consequential loss, or for loss of profit, goodwill or data.

13. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will notify you by email or in-product notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

14. Governing law and jurisdiction

These Terms and any dispute arising out of them are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
