Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Copacetic platform, websites and related services (together, the "Service"), provided by Copacetic Technologies Ltd ("Copacetic", "we", "us", "our"), a company registered in England and Wales (No. 14820019). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Acceptance of these Terms
By creating an account or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a firm, company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
2. The Service
Copacetic provides practice-management software for legal professionals, including matter management, task boards, calendaring, legislation tracking, secure document storage and sharing, messaging, time recording and billing tools.
We may add, change, suspend or remove features from time to time. We will give reasonable notice of any change that materially reduces core functionality. We do not provide legal advice, and nothing in the Service is a substitute for professional judgement.
3. Accounts and eligibility
You must be at least 18 years old and capable of forming a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must notify us promptly at security@copacetic.co of any unauthorised use of your account or any other breach of security.
4. Subscriptions, trials and fees
Paid plans are billed in advance on a recurring monthly basis. Free trials last 14 days; unless you cancel before the trial ends, your selected plan will begin and the applicable fee will become payable.
Fees are stated exclusive of VAT, which will be added where applicable. Except where required by law, fees are non-refundable. We will give at least 30 days' notice of any change to pricing, which will take effect at your next renewal.
5. Your content and client data
You retain all rights in the data, documents and content you upload ("Customer Data"). You grant us a limited licence to host, process and transmit Customer Data solely to provide and support the Service.
You are responsible for ensuring you have the necessary rights and lawful basis to upload Customer Data, and for complying with your own professional and regulatory obligations, including client confidentiality and legal professional privilege.
6. Acceptable use
You agree not to: use the Service unlawfully; upload malicious code; attempt to gain unauthorised access to the Service or other accounts; reverse-engineer or resell the Service; or use it to store or transmit content that is unlawful, infringing or harmful.
We may suspend or restrict access where we reasonably believe these Terms have been breached or where necessary to protect the Service or other users.
7. Availability and support
We aim for 99.9% monthly availability, excluding scheduled maintenance, for which we will give advance notice where practicable. The Service is provided "as is" and "as available".
Support is provided by email, and by priority channels on the plans where stated.
8. Intellectual property
The Service, including its software, design, trademarks and content (excluding Customer Data), is owned by Copacetic or its licensors and protected by intellectual-property law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service.
9. Termination
You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate access for material breach of these Terms.
On termination you may export your Customer Data for 30 days, after which it may be deleted in accordance with our Privacy Policy and retention schedule.
10. Warranties and liability
To the fullest extent permitted by law, we exclude all implied warranties. We do not exclude or limit liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.
Subject to the above, our total aggregate liability arising out of or in connection with the Service in any 12-month period shall not exceed the fees you paid in that period. We are not liable for indirect or consequential loss, or for loss of profit, goodwill or data.
11. Changes to these Terms
We may update these Terms from time to time. Where changes are material, we will notify you by email or in-product notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
12. Governing law and jurisdiction
These Terms and any dispute arising out of them are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
